Employment Position: Associate Counsel: W-JK

SAFARI Montage is the leading K-12 Learning Object Repository, Video Streaming Library, IPTV & Live Media Streaming provider. The platform provides an interoperable foundation for teachers and students to access procured, created and curated educational digital resources, create playlists and integrate items into their LMS. The platform is IMS certified in LTI, Common Cartridge, OneRoster and CASE.

SAFARI Montage servers come preloaded with educational video titles tied to the curriculum from the industry's leading video publishers, which include Schlessinger Media, PBS, The History Channel, National Geographic, Scholastic, Disney Education, BBC and more.


Reporting to General Counsel, this position handles a very diverse set of legal matters for a small in-house legal department, including transactional technology and commercial contracts, intellectual property issues and employment related legal matters.  Candidate should be a critical and creative thinker that enjoys interacting with all facets of the business team and is able to work independently. The job duties include the following:


  • Drafting and negotiation of standard and complex agreements, including software development, licensing, SaaS, terms of use, non-disclosure, service and consulting agreements;
  • Conduct research and provide advice on a variety of legal issues including privacy, security and copyright matters;
  • Analyze, review and respond to Request for Proposals;
  • Provide advice on benefits and employment matters;
  • Respond to internal and external requests for licensing of Company’s intellectual property including researching rights and preparation and review of permissions documents; and,
  • Other duties as assigned.


  • Candidates must be licensed to practice in PA and have a minimum of 5 years’ experience; 
  • Technology licensing and commercial transaction experience required; 
  • Experience necessary in intellectual property development, management and licensing transactions, including expertise in software development processes, open source licenses and compliance, and distribution and contracting issues for software products; 
  • Detail oriented with excellent communication, organization, analytical and writing skills; 
  • Self-motivated and capable of handling multiple tasks and assignments simultaneously; 
  • Proficient PC skills including MS Word, MS Excel, MS PowerPoint and legal search engines; and, 
  • Software licensing experience a plus.
